Default '97 F250 Trans Questions

Hello to all. As a new member I may be asking a question already asked, if so please forgive. My truck has been going into "protective mode" with the OD OFF light on the shift knob blinking. I have been able to remedy with my "superchips" device in diagnose mode. The code I get is a vague one and doesn't pinpoint any one thing but right now I forget what the code is. It does clear the code and off I go till the next hill I come to. I have been told that at 147K miles the trans is about to blow and needs rebuilt. I have been very diligent about changing the trans fluid every 15K and have towed my boat and a few heavy loads of hay, but nothing really too bad I guess. Heck its a Ford, right? My question(s) are does the thing really need rebuilt or is there just something goofy that makes the thing go into safe mode? I have seen complete transmissions (new) at or near the cost of a rebuild, are these a good way to go? Being a farmin' type of guy I would not be afraid to take on all or part of a re-build although I have never done so. COMMENTS!?
